The problem this seat exists to solve
A new-sector entity is constituting a board that must satisfy the CMA requirement of at least two independent directors or one-third of the board, and needs governance experience of hospitality assets at a scale the domestic market has not previously built.
The remit
- Serve as an independent director on a board being formed within the current election cycle
- Bring governance experience of large-scale hospitality or destination development
- Contribute to the audit committee's formation and charter
- Support the transition from project governance to corporate governance
What the sponsor will not compromise on
- Board or C-suite experience in hospitality, resorts or destination management at scale
- Understanding of the CMA Corporate Governance Regulations and the four-year board cycle
- Comfort operating in a market building institutional governance at speed
- Availability for four to six board meetings a year plus committees
Terms
- Engagement
- Board term of up to four years under the CMA regime.
- Compensation
- SAR 300,000 – 450,000 a year, within the statutory cap.
- Cross-border
- Foreign nationals serve on Saudi boards. Timing runs to the four-year election cycle, so entry mid-cycle depends on a casual vacancy.
- Time commitment in this market
- Boards typically meet four to six times a year, with committee cycles and a general assembly; giga-project and transformation entities meet considerably more often.

Foreign nationals serve on Saudi boards, and the framework does not bar it — but sector licensing, the four-year election cycle and, for regulated firms, SAMA or CMA approval shape the route in.
- Residency test
- No general residency requirement for a non-executive director of a listed joint stock company; some regulated sectors and executive roles do carry residency conditions.
- Nationality test
- Certain licensed and strategic activities carry Saudi-national requirements at board or management level. Check the sector's licensing conditions before assuming the general position applies.
- Work authorisation
- A non-resident non-executive director attending board meetings travels on a business visit visa. Resident and executive roles require an iqama and are subject to Saudization requirements.
- Tenure limit once appointed
- Board terms are limited to four years and are renewable. Independence is reassessed each cycle against the CMA's criteria rather than capped by cumulative years.
