Infrastructure finance organisation in Kenya
The problem this seat exists to solve
This board appointment brings infrastructure finance judgement to decisions whose consequences extend well beyond financial close. The director will test whether proposed funding reflects the asset's actual construction exposure, operating ramp, maintenance obligations and ability to collect revenue. A persuasive model is insufficient if the underlying contracts allocate risks to parties unable to absorb them.
Infrastructure judgement grounded in financing experience
Applicants should demonstrate substantive responsibility for infrastructure debt, project finance or complex corporate financing, alongside experience presenting difficult capital choices to boards. Relevant exposure could come from asset ownership, lending, development finance or executive finance leadership. Candidates must explain both a financing they helped execute and an assumption they successfully challenged.
Experience in African operating environments is valuable where it includes practical understanding of currency convertibility, payment collection, counterparties and enforceability. Prestige of transaction history does not substitute for independent judgement.
Cash available to the asset
Review funding proposals against downside demand, delayed commissioning, cost escalation and currency mismatch. Require clear treatment of reserve accounts, restricted cash, lifecycle expenditure and cash trapped within project entities. Examine how guarantees, completion support and cross-default provisions transmit risk between assets. Challenge refinancing plans that depend on an unproven valuation uplift or a single favourable market window.
Capital choices and collective responsibility
When considering new investment, distinguish spending that protects essential asset performance from discretionary expansion. Ask how financing conditions affect procurement choices, operating flexibility and service obligations. Ensure the board receives warning indicators before a covenant issue becomes a request for emergency approval.
The remit is collective board oversight. Management retains responsibility for negotiations, financial reporting and delivery. The director must nevertheless be capable of following a financing issue from commercial assumption through loan documentation to the point at which it could restrict operations or shareholder distributions.
The director will help establish a board view of financing resilience, support disciplined review of material borrowing decisions and follow unresolved conditions through subsequent meetings. Success is a better evidenced capital allocation process, credible downside preparedness and timely escalation. Appointment eligibility, independence, conflicts and committee allocation will be assessed for the particular entity. The role confers no personal authority to commit funds or direct lenders.
