Aviation, travel and hospitality organisation in Kenya
The problem this seat exists to solve
The director will strengthen board oversight of hospitality arrangements involving owners, operators, development partners or other commercial participants. The remit is to understand how rewards, costs and obligations are allocated, and whether the organisation has the information needed to govern its position. The seat does not act as the advocate of one stakeholder outside the board's collective responsibilities.
Before entering or changing an arrangement
Challenge assumptions about fees, capital commitments, performance incentives and exit conditions. Require management to explain how the arrangement behaves under weaker trading or delayed investment, not only in the base case. Specialist advisers should address material legal and accounting interpretations so directors understand the decisions they are being asked to make.
Review the governance rights and reporting arrangements needed after agreement. A contractual right is of limited practical value if the business cannot obtain timely information or use it to challenge performance. Consider how disputes or conflicting priorities would be escalated without allowing ordinary operating decisions to remain unresolved.
Oversight during operation
Examine whether actual performance and cash flows remain consistent with the agreed economics. Ask management to distinguish market effects from operating execution and from features of the arrangement itself. Where changes are proposed, compare them with available alternatives rather than treating amendment as automatically preferable to a difficult discussion.
Relevant background
Candidates should bring senior finance, investment or board experience in hospitality partnerships or comparable property-backed service arrangements. They need commercial judgement, independence and the ability to work constructively with stakeholders whose interests are not identical. African market experience is valuable when it includes responsibility for operating or investment outcomes.
The appointment is to the board, with any committee duties defined at the outset. Management retains responsibility for negotiation and ongoing contract administration within approved authority. The director should improve the clarity of partnership decisions and the monitoring of obligations after signing.
Candidates must disclose relationships with owners, operators, advisers and potential partners. They should be prepared to challenge an arrangement they helped approve if subsequent evidence shows that its economics or governance no longer support the organisation's objectives.
