The problem this seat exists to solve
The chair will lead a statutory oversight body whose work must account for different utility activities, shared functions and public-interest responsibilities. The objective is a clear, risk-informed programme that does not allow group complexity to dilute accountability.
Organising the body’s work
Coordinate enquiries and member responsibilities across governance, administrative arrangements and material controls within the remit. Examine how information reaches the body from operating units and how significant findings are consolidated. Require explicit follow-up when an issue spans more than one management owner.
Public-control and group interfaces
Pay attention to related-party arrangements, delegated authority and the distinction between shareholder expectations and entity-level governance. Review whether shared services provide adequate records and controls for each activity. The chair should maintain an independent oversight position while enabling constructive communication with the relevant governing bodies.
Where responsibilities span operating units and shared functions, request a clear account of who supplies information, who acts on findings and who confirms completion. A group-level response should not obscure whether the issue has been resolved in each affected activity. The chair should also examine whether public-owner requests enter the entity’s governance processes appropriately. Material decisions need identifiable authority and documentation, allowing the body to assess the process without assuming that a request from an influential stakeholder is itself sufficient approval.
Qualified candidates and formal eligibility
Candidates should have substantial statutory oversight experience and evidence of chairing a collegiate body. They must satisfy the appointment-specific professional, integrity, independence and registration requirements where applicable. Other offices, incompatibilities and available capacity should be assessed explicitly.
What the role should improve
The body should produce well-supported observations, consistent records and timely escalation of unresolved matters. Candidates should discuss a situation where consolidated reporting hid a weakness in one activity and explain how they ensured it received attention. The office does not confer general executive authority or automatically include the external financial statement audit.
