Board succession and governance organisation in Switzerland
The problem this seat exists to solve
This adviser will help a board or authorised appointment body define a director search that reflects the contribution actually needed. The work is intended to prevent a familiar failure: a broad wish list produces a large candidate pool but no clear basis for choosing among credible people.
Improve the brief before the search begins
Review the strategic agenda, existing board composition and responsibilities of the vacant seat. Establish what the new director must help the board decide, where challenge is currently weak and which capabilities can be provided through other means. Distinguish essential requirements from preferences that may unnecessarily narrow the field.
Build a defensible assessment route
Translate the brief into evidence-based assessment criteria. Advise on interview questions, reference themes and the treatment of differing career backgrounds. Ensure that criteria are not changed informally to favour a preferred candidate once the process is under way.
Help the appointment body understand the role of search providers, internal stakeholders and independent assessors. Identify conflicts and information asymmetries that could affect judgement. The adviser should be prepared to challenge both an over-specified brief and one so vague that almost any senior profile appears suitable.
What the adviser must know
Candidates need deep experience in board search, director assessment or governance advisory. They should understand non-executive responsibilities and the difference between executive achievement and effective board contribution. Strong facilitation and writing skills are essential, as is the ability to make assessment practical rather than bureaucratic.
Applicants should show evidence of changing a search brief after identifying the underlying governance need. An extensive network is useful only if accompanied by disciplined judgement and transparent handling of relationships.
Deliverables and boundaries
The mandate will produce a role specification, assessment framework and decision process that the appointing body can use consistently. It does not include authority to appoint, negotiate terms or conduct outreach unless separately and explicitly authorised. The adviser must disclose commercial relationships with potential search providers and candidates. Success is a selection process that can explain why a candidate meets the board's needs, what evidence supports that view and what limitations remain, rather than relying on reputation, chemistry or a list of prestigious prior roles as the deciding factors.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in Switzerland. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
