The problem this seat exists to solve
This is a genuine board appointment with collective responsibility for the enterprise, bringing particular scrutiny to professional practice risk. The director will examine how commercial ambition, engagement acceptance and quality assurance interact. The objective is to ensure that growth does not outrun the competence, supervision or ethical judgement needed to deliver work responsibly.
Stewardship of an expertise-led enterprise
The board contribution extends beyond reviewing claims or incident reports. Challenge whether management understands exposure across service lines, client dependencies and reliance on subcontracted expertise. Examine how difficult acceptance decisions are made, how emerging concerns reach leadership and whether commercial incentives discourage staff from raising problems.
Questions the director should sharpen
- Does the business have clear limits on the work it will undertake, and can leaders demonstrate the capability behind proposed services?
- Are recurring quality issues treated as operating-system weaknesses or explained away as isolated mistakes?
- Does insurance, where maintained, address the actual nature of the practice without being mistaken for a substitute for prevention?
Review management's approach to conflicts, confidential information, professional independence and the supervision of new delivery methods. Seek specialist advice where necessary rather than assuming a single director can interpret every professional obligation. Committee participation will follow the board's agreed allocation of responsibilities and applicable appointment requirements.
Independence and board conduct
Candidates should bring senior leadership or governance experience in a professional or knowledge-intensive business, with exposure to consequential client-delivery risk. They must demonstrate constructive challenge of commercially attractive work and an ability to assess assurance evidence. Prior board experience is valuable, but evidence of judgement, independence and collective decision-making is essential.
The director will oversee management's risk framework, test remediation and contribute to strategy, succession and capital decisions. They will not become the approver of individual engagements or take over professional quality management. Potential conflicts and relevant business relationships must be disclosed before appointment.
Effective contribution will be visible in clearer risk choices, more useful board information and timely correction of systemic weaknesses. The board should be able to explain how the business earns trust and how that trust is protected as its services evolve.
