Board Succession Adviser — Chair Transition Readiness

Board succession and governance organisation in Switzerland

The problem this seat exists to solve

The adviser will support a deliberate chair succession process by helping the board define the leadership it needs, the evidence it should seek and the transition conditions that will allow a successor to work effectively. The mandate does not confer a director appointment or authority to select the next chair.

A transition assessment, not a candidate sales exercise

Begin with confidential discussions about how the board currently operates, where the chair adds value and what may need to change. Separate the capabilities required for the next phase from habits associated with the incumbent. Examine committee leadership, relationships with executives and the capacity of other directors to support continuity.

The recommendation must answer practical questions

What decisions will confront the incoming chair? Which relationships require careful transition? Where does the board need stronger challenge, better synthesis or clearer accountability? How will candidates be assessed for the actual demands of the role rather than for reputation alone?

Develop a reasoned role specification and assessment approach. Advise on the sequencing of consultation, candidate consideration, references and handover, subject to the appointing body's process. Identify confidentiality risks and conflicts before they distort the assessment. Where a search firm is involved, help the board become a better informed client without taking over responsibilities outside the agreed scope.

Experience that will be credible here

Candidates should have substantial experience advising on chair or board succession, with a strong understanding of non-executive governance. They must demonstrate discretion, independence and the ability to challenge influential stakeholders without becoming aligned to a preferred candidate. Evidence of managing a sensitive transition is more relevant than the size of a contact database.

The adviser should be comfortable distinguishing observations from conclusions and identifying where the available evidence does not support a confident judgement.

Completion of the mandate

Deliver a chair-role assessment, an agreed selection framework and a practical transition plan. Record unresolved governance questions rather than quietly embedding them in a candidate specification. Appointment decisions remain with the authorised body, and any candidate outreach requires explicit scope and consent. The work succeeds when the board can explain what it needs from its next chair and assess candidates consistently, while protecting the independence and legitimacy of the eventual appointment.

Before you apply — an advisory engagement

No office of director, and no appointment formalities.

An advisory engagement creates no directorship in Switzerland. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.

On this brief
Independence
Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
