Agricultural commodities organisation in Switzerland
The problem this seat exists to solve
Candidates should bring substantial agricultural trading, commodity finance, risk or board experience with direct understanding of physical flows. They must demonstrate the ability to challenge commercially experienced executives while recognising the practical uncertainty of the market. Generic corporate governance experience without exposure to commodity transactions is unlikely to provide the required depth.
Understand how a trading decision becomes an exposure
This director will strengthen governance of an agricultural trading business, with attention to the relationship between commercial commitments, financing, logistics and operational control. The board requires independent challenge that follows a transaction beyond the headline margin and examines what must happen for value to be realised safely.
Review the quality of information on open positions, counterparty exposure and physical delivery obligations. Ask whether risk measures reflect the actual terms of contracts and the possibility that an apparently matched position can still create timing, quality or location risk. Management should explain where the business relies on assumptions about storage, transport, financing or customer acceptance.
Board questions that matter
Scrutinise the framework for approving new products, markets and counterparties. Growth proposals should identify the capabilities and controls needed before volumes increase. Challenge the use of exceptions to limits, especially where repeated temporary approvals indicate that the formal framework no longer describes the business being conducted.
Assurance across transaction records
Examine assurance over trade capture, contract changes and reconciliation between commercial and finance records. Encourage reporting that separates ordinary market movement from errors, unauthorised exposure or unresolved disputes. Where a loss occurs, require a clear account of its cause and the response, without assuming every adverse outcome proves that a commercial decision was unreasonable.
The director role
This is a director appointment with collective board responsibility and any committee duties agreed for the seat. The director will not approve individual trades, negotiate contracts or manage positions. Their contribution should result in clearer risk appetite, better evidence for expansion decisions and stronger visibility of exposures that cross functional boundaries. Candidates must disclose trading interests, advisory relationships and other appointments so that independence and conflicts can be assessed. The role requirements stand independently; no assumption is made about the qualifications of any particular individual.
