Board succession and governance organisation in Switzerland
The problem this seat exists to solve
This independent director will strengthen collective oversight of board composition and succession. The appointment is for a practising governor who understands how directors contribute, how boards lose effectiveness and how future needs can differ from the experience represented around the table today.
The board must renew itself before a vacancy dictates the answer
The role includes full participation in strategy, risk and performance oversight. Succession expertise is an additional contribution, not a licence to treat the board as a recruitment assignment or a source of search business.
Start with the work the board must do
Challenge whether the board's collective capabilities match the decisions ahead. Examine the balance of expertise, independence, tenure, perspective and available time. Ask which gaps affect decision quality and which are merely preferences expressed through a familiar candidate profile.
Help establish a succession view that considers planned departures, unexpected unavailability and committee continuity. Encourage candid discussion of contribution without reducing evaluation to attendance or a mechanical skills grid. The director should be willing to question assumptions about the kind of background required for a seat.
Protect the integrity of appointment decisions
Support clear role specifications, transparent assessment criteria and disciplined handling of conflicts. Review whether candidate evidence is comparable and whether informal sponsorship is displacing independent judgement. Where external search support is used, ensure its remit serves the board's needs and that the decision remains with the authorised body.
Applicants should have meaningful board experience or senior governance leadership involving director succession and assessment. Search experience is relevant only where it demonstrates understanding of governance responsibilities, independence and evidence-based selection. Candidates must be able to discuss difficult succession decisions with discretion and without relying on personal networks as their principal qualification.
Contribution expected over time
The board should gain a clearer view of its future needs, a credible succession process and better continuity of committee leadership. The director will participate in collective decisions and respect confidentiality throughout. Appointment-specific eligibility and independence will be assessed, including relationships with search providers or potential candidates. The seat carries no executive hiring authority and no entitlement to recruitment fees. Success is a board that renews thoughtfully while preserving the capacity to challenge management and discharge its wider responsibilities.
