The problem this seat exists to solve
This director will bring investment discipline to media holdings where rights, distribution and audience relationships determine commercial value. The role requires scrutiny of the cash-generating rights actually owned and the obligations attached to them.
Board responsibilities
Challenge acquisitions, production commitments and capital allocation. Examine how licensing terms, duration and usage restrictions affect the investment case. Ask whether attractive audience or activity measures translate into collectible revenue and sustainable cash after the cost of maintaining or renewing the proposition.
Rights and routes to market
Review dependence on key distribution relationships and the practical alternatives if a contract changes. Distinguish ownership from limited access and assess the effect of renewal uncertainty. Material specialist questions should receive competent advice, with the implications explained clearly to the board.
Qualified candidates
Candidates should have senior media investment, corporate development or board experience with strong financial judgement. They need to assess creative-business uncertainty without substituting personal preference for commercial evidence. Experience with a rights transaction, distribution change or investment that underperformed is especially relevant.
Capital choices under uncertainty
Require investment papers to show the cost of commitments before revenues arrive and the consequences of a weaker outcome. Compare new acquisitions with developing existing assets or retaining flexibility. Where a valuation assumes future exploitation, ask what capability and investment are still required to achieve it.
Contribution at the board table
The director should help establish a coherent investment thesis and meaningful portfolio review. Applicants should discuss an opportunity whose headline metrics were strong but whose contractual or cash economics made it unattractive.
This is a non-executive investment-governance seat, not an editorial or deal-introduction role. Management retains commercial execution. The director must disclose relevant interests and help the board distinguish a promising asset from a supportable investment at the proposed price, financing and risk allocation.
