The problem this seat exists to solve

Applicants should have led a business or major operating unit through separation, establishment or comparable structural transition. They need direct financial and people accountability, strong service-continuity judgement and experience managing temporary dependencies. Applications should explain a readiness decision that required resisting timetable pressure.

Establish a business that can stand on its own

The interim managing director will lead the operating separation of a service business and assume responsibility for its continuity through transition. The remit combines general management with delivery of the approved separation plan. It requires ensuring that clients, employees and critical partners experience a functioning enterprise while shared arrangements are replaced or formalised.

Define the independent operating requirement

Identify the services, systems, expertise and permissions currently obtained from the wider organisation. Distinguish essential dependencies from conveniences that can be redesigned. Establish the standalone management information, financial processes and decision authorities needed before separation milestones are accepted.

Build a credible operating plan with realistic costs, transition resources and residual risks. Ensure that assumptions about retained clients and employee capability are tested through authorised channels. Where temporary service arrangements are needed, make their scope, exit dependencies and ownership clear. Avoid allowing temporary support to become an unexamined permanent dependence.

Run the business while changing it

Lead the management team, maintain client delivery and coordinate the transition programme. Resolve conflicts between separation activities and current commercial commitments. Manage approved expenditure and prepare timely decisions on issues outside delegated authority. Legal structure, transaction terms, employment transfers and tax matters require the appropriate specialist advice and approvals.

Communicate operating changes clearly to affected teams, with practical guidance on new responsibilities and escalation routes. Protect critical knowledge and ensure that access to information is adjusted appropriately as boundaries change. The director must make readiness evidence visible rather than rely on an approaching transaction date as proof of preparedness.

The independent business at handover

Success means the business can deliver, bill, collect, manage risk and make ordinary operating decisions through its own accountable leadership. The successor should receive reliable forecasts, documented dependencies and an achievable exit plan for remaining temporary services. Completion requires a viable operating enterprise, not only the transfer of organisational boxes.

Before you apply — this is an executive role

An interim seat needs work authorisation. A board seat in Luxembourg usually does not.

This is the single most common way a cross-border interim engagement falls apart after it has been agreed. The visa-free position that applies to a non-executive director attending board meetings does not extend to an executive or operating role.

Position in Luxembourg
A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.

SPV Director — Property Investment

Luxembourg·Property & Real Estate

Property investment organisation in Luxembourg

The appointment concerns a property investment vehicle with a defined purpose. A narrow purpose does not remove the need to understand its financing, contracts, cash flows and decision obligations. The director must be able to challenge transactions rather than simply sign prepared documents.
