The problem this seat exists to solve
The director will strengthen board oversight of an enterprise investing in innovation-led activities. The challenge is to distinguish justified uncertainty from avoidable weaknesses in diligence, governance or execution. The appointment carries the full responsibilities of a director and does not replace the work of management or specialist investment teams.
Look at the portfolio in several ways
Examine concentration by technology, development stage, funding dependency and route to market. A portfolio can appear diversified by sector while relying on the same financing conditions or commercial assumptions. Ask how management identifies correlated risks and reserves capacity for follow-on decisions.
Review the evidence required at different stages. Early uncertainty should not become an excuse for vague milestones, and later funding should reflect what has actually been learned. Challenge whether technical progress is being confused with commercial readiness or whether an apparently attractive market lacks an executable route to customers.
Evidence candidates should discuss
Applicants need senior investment, innovation governance or enterprise leadership experience with exposure to uncertain development outcomes. They should explain a decision to continue or stop support when new evidence contradicted the original thesis. The ability to assess expert advice without overclaiming technical expertise is important.
Board interventions
Contribute to risk appetite, portfolio limits and major capital decisions. Seek clarity on ownership of monitoring, valuation judgements and conflicts. Review how management handles investments that require more time or capital than anticipated, including the opportunity cost to the rest of the portfolio.
The director will not act as an individual deal sponsor or assume executive responsibility for investee development. Specialist committees may support the board, but this appointment remains a board office. Applicable eligibility and independence requirements must be confirmed for the entity.
The governance outcome
The board should gain a more realistic view of the range of possible outcomes and the decisions available as evidence develops. Success means disciplined experimentation, transparent concentration and timely reassessment. The director should help preserve the willingness to support meaningful innovation while preventing optimism, reputation or sunk cost from displacing the standards of judgement applied to further commitments.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.
