The problem this seat exists to solve
The director will join a board responsible for investment or funding decisions and strengthen governance of conflicts, influence and decision integrity. The remit concerns how the enterprise protects impartial judgement while drawing on relevant expertise and relationships. It is a board appointment with collective duties, not an external ethics-review panel role.
Where conflicts become operational
Review how interests are identified, disclosed and managed before decisions are shaped. Ask whether recusal arrangements preserve a competent decision-making body and whether informal influence remains possible outside the meeting. Examine the treatment of advisers, experts and counterparties whose roles may create competing incentives.
Consider whether decision records explain the evidence and rationale sufficiently to withstand scrutiny. A declaration alone does not resolve a conflict, and a procedurally complete file may still conceal an improperly influenced judgement. Seek a culture in which potential issues are raised early rather than treated as embarrassing obstacles.
The board's response
Contribute to policy, escalation arrangements and oversight of material concerns. Ensure that investigations or reviews are appropriately independent and that individuals receive fair treatment. Qualified legal and other specialists should advise on the actual obligations and facts.
The director will not become the sole arbiter of every disclosure or personally investigate allegations. Management and designated control functions retain their roles, with reserved matters brought to the board. The candidate's own interests and other offices must be assessed transparently before appointment.
Evidence from applicants
Candidates should demonstrate senior governance, investment or public-interest leadership involving competing stakeholder interests. They must explain a difficult conflict-management decision and the principles used to preserve both fairness and confidence. Strong financial literacy and the ability to challenge influential colleagues constructively are required.
What effective governance looks like
Success means material decisions can be traced to relevant evidence and an appropriately independent process. The board should be able to explain how a conflict was managed, not simply that it was declared. The director's contribution should protect the enterprise's legitimacy while allowing it to use expertise responsibly, avoiding both unchecked influence and excessively broad exclusions that weaken the quality of decisions without materially improving integrity.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.

- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.

- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
