The problem this seat exists to solve
The director will contribute to governance of an investment enterprise that reports financial and wider mission outcomes. The focus is the integrity of the evidence used for capital decisions and external accountability. The role requires challenging both unsupported claims and measurement systems that consume effort without improving judgement.
Separate intention, activity and result
Review how objectives are defined before commitment and how management determines whether they have been achieved. Ask which outcomes the investment can plausibly influence, which depend on others and what evidence supports attribution. A completed activity or funded project should not automatically be presented as a delivered outcome.
Examine data sources, estimation, reporting boundaries and incentives. If recipients or investment teams benefit from positive results, the assurance approach should recognise that conflict. Seek proportionate independent challenge and clear disclosure of uncertainty rather than an appearance of precision unsupported by the underlying evidence.
Connect measurement to decisions
Ask how findings affect further funding, portfolio construction and the design of future investments. Review cases where reported success did not translate into the intended strategic benefit. The board should understand when a measure has become a target that distorts behaviour or excludes important but difficult-to-measure outcomes.
Experience the board needs
Candidates should have senior investment, evaluation or governance experience, combined with financial literacy and a practical understanding of delivery. They must explain a case where an outcome claim was narrowed or revised after scrutiny. Strong candidates can challenge evidence without making evaluation so burdensome that it prevents worthwhile activity.
Office and accountability
This is a director seat, with committee participation determined by the actual board. It is not a standalone evaluation consultancy or external funding-panel role. Management retains responsibility for data and reporting; qualified specialists should advise on applicable disclosure requirements. Eligibility, independence and relevant interests must be assessed before appointment.
The board should leave material decisions with a clearer account of what is known and what remains uncertain. Success means capital and public claims are supported by credible evidence, with lessons informing subsequent choices. The director's contribution should make accountability more substantive while preserving honest recognition of outcomes that develop slowly or cannot be attributed to one intervention alone.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.
