The problem this seat exists to solve
The director will contribute to the board of an enterprise commercialising research-derived capabilities. The seat requires assessing how technical progress becomes a credible product, partnership or operating business. It carries collective governance responsibilities and does not make the director an external scientific assessor or a part-time commercial executive.
What the candidate must understand
Applicants should demonstrate senior innovation, investment or enterprise leadership involving the transition from research to commercial use. They must explain a case where customer evidence, intellectual-property arrangements or execution capacity changed the proposed route. Financial literacy and respect for the limits of specialist knowledge are essential.
Challenge the commercial pathway
Ask who will use the capability, why they would change existing practice and what evidence supports willingness to adopt or pay. Examine development requirements, qualification processes and the resources needed before meaningful revenue is plausible. Technical differentiation should be connected to a customer problem rather than assumed to create its own market.
Review the governance of intellectual property, partnerships and conflicts with appropriately qualified advice. Consider whether a licensing, partnership or direct operating route best fits the enterprise's resources and objectives. The board should understand the capabilities it would need to build under each option.
Stage the commitments
Contribute to capital decisions and milestones that test the most consequential uncertainties. Challenge further investment when progress demonstrates technical activity but not the evidence needed for commercial viability. Equally, recognise when an early negative result creates useful learning rather than invalidating the whole opportunity.
Management retains development, negotiation and execution responsibility. Any committee role, independence condition or eligibility requirement must be established for the actual board office. Relevant academic, commercial and financial relationships should be disclosed and managed transparently.
A disciplined route to value
The board should become better able to distinguish scientific promise, commercial readiness and the enterprise's own ability to execute. Success is a sequence of commitments supported by evidence and a clear rationale for partnership or continued development. The director's contribution should preserve ambition while preventing reputation, enthusiasm or sunk effort from obscuring the practical conditions required to create a sustainable business.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.
