The problem this seat exists to solve
The director will add practical delivery judgement to board oversight of major operating change. The remit concerns the connection between strategic intent, management capacity and the work required across functions. It is a genuine board seat for someone who can challenge execution assumptions while respecting the distinction between governance and programme management.
Review the organisation's capacity for change
Examine the combined demands of active initiatives, not only each project in isolation. Ask where the same managers, specialists or frontline teams are expected to support several changes at once. Require management to explain how priorities are resolved and what work will be deferred if capacity proves insufficient.
Review decision rights and benefit ownership. A programme needs more than an executive sponsor's name; it needs timely choices and operating leaders accountable for outcomes. The director should challenge arrangements in which responsibility is assigned without practical authority or resources.
Candidate evidence
Candidates should have substantial programme, operations or transformation leadership experience and the maturity to act as an independent director. They need a record of decisions involving multiple stakeholders and competing constraints. Prior board service is valuable but should not replace evidence that the candidate can assess real delivery conditions.
Oversight at turning points
Scrutinise major transitions, changes in scope and requests for additional investment. Ask what evidence supports proceeding and what alternatives have been considered. The board should be able to recognise when changing course protects value rather than interpreting every revision as delivery failure.
The appointment carries collective director responsibilities and any agreed committee duties. Management retains programme execution and staff direction. The director will not create a parallel chain of command or use board status to make operational decisions outside the agreed governance framework.
The desired contribution is better prioritisation, realistic change commitments and timely escalation of material execution risk. Candidates must disclose relationships with advisers and delivery suppliers. They should demonstrate the ability to question both management's assumptions and the board's appetite for adding further change without considering the organisation's capacity to absorb it.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.

Board Director for Investment Decision Ethics and Conflicts
Luxembourg·Public-Interest & Regulated Services
Public-interest investment organisation in Luxembourg
The director will join a board responsible for investment or funding decisions and strengthen governance of conflicts, influence and decision integrity. The remit concerns how the enterprise protects impartial judgement while drawing on relevant expertise and relationships. It is a board appointment with collective duties, not an external ethics-review panel role.
