The problem this seat exists to solve
Candidates need substantial banking finance, audit or financial-control experience, with the ability to engage confidently on complex financial statements. A relevant professional qualification or equivalent demonstrable expertise is expected. Prior committee experience should show constructive challenge and follow-through, not only attendance.
Financial expertise with independence to pursue questions
Applicants must be able to explain an instance where they pursued an unresolved reporting issue despite an initially reassuring explanation. Independence from material service providers and other relationships will be reviewed carefully.
The reporting judgements to scrutinise
This director will strengthen board oversight of financial reporting, audit and the controls that support a bank's published and internal information. The remit is particularly concerned with judgement: estimates, classifications and accounting choices must be understandable, evidenced and consistent with the underlying economics.
Challenge significant estimates and the evidence used to support them, including credit-related allowances, valuations and material provisions. Ask how management has considered contradictory indicators and whether changes in methodology or assumptions have been explained transparently. Review the connection between risk reporting and financial reporting so that emerging problems do not appear in one forum while remaining absent from another.
The director should examine close discipline, data lineage and access to specialist expertise. Outsourced preparation or valuation does not remove the need for management ownership and board scrutiny.
Assurance must lead to resolution
Assess the scope, independence and findings of internal and external assurance. Follow recurring control deficiencies, overdue actions and disagreements through to a clear resolution. Require a reasoned account of why a control weakness is tolerable temporarily and what protects reporting reliability in the meantime.
Responsibilities at and beyond sign-off
The appointment is a genuine board seat, with potential audit committee responsibilities subject to the final allocation. The director will not prepare accounts, substitute for the external auditor or assume management's responsibility for maintaining controls.
The board should receive a clear account of significant judgements, assurance limitations and unresolved control matters. The director will contribute to wider board duties and maintain sufficient availability during reporting periods and material issues. Appointment-specific eligibility and approvals apply. Success is a reporting process that can withstand challenge, with documented reasoning and timely correction where evidence changes, rather than an absence of questions at the point of sign-off.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.
