The problem this seat exists to solve
This appointment concerns a property investment entity with a defined purpose. The director must understand the vehicle's resources, financing and obligations and be willing to challenge prepared documents when the supporting rationale is incomplete.
The director as a substantive decision-maker
Candidates should have property-finance, investment-entity or corporate-governance experience. They need strong financial literacy and careful document judgement. The actual eligibility, participation and professional requirements must be established for the office; the role is unsuitable for someone expecting a nominal signature appointment.
Applicants should explain how they evaluate a guarantee, intercompany loan or distribution from the entity's perspective. An effective director can identify when a commercially reasonable group proposal still requires safeguards or a different sequence at the vehicle level.
The appointment carries genuine board responsibility. It does not imply authority to manage the underlying property or originate transactions. The value is a reliable, independent process through which the entity's material decisions are understood, supported and documented.
Approve with a traceable investment basis
Identify the action requested, the entity-level benefit and the liabilities created. Review the source and use of funds, relevant restrictions and continuing commitments. Ask whether specialist legal, tax or accounting questions have been resolved and whether the conclusions apply to the actual transaction.
Papers should show alternatives, material assumptions and unresolved issues. The director should not accept a group instruction as a substitute for considering the vehicle's own position. Where a decision is deferred, identify the evidence required to reconsider it so that challenge leads to resolution rather than indefinite delay.
Responsibilities during ownership
Maintain oversight of cash availability, debt service and material property obligations through proportionate reporting. Examine proposed distributions against the entity's current position rather than relying solely on historic accounts or asset values. Review changes in intercompany arrangements and guarantees when they affect exposure.
Ensure decisions remain traceable when administrators or asset managers change. The board should retain access to the underlying evidence, including unresolved conditions attached to earlier approvals, rather than depend on a departing provider's summary.

Before you apply — Luxembourg
Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.
- Residency test
- No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
- Tenure limit once appointed
- No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.
