Restructuring and turnaround organisation in Luxembourg

The problem this seat exists to solve

The director will oversee funding and restructuring decisions at a holding entity. The role requires a clear view of its assets, obligations and access to cash, particularly where operating businesses need support and consolidated information can obscure the position of individual entities.

Director responsibilities

Review intercompany funding, guarantees, capital contributions and proposed distributions. Ask what benefit and exposure each transaction creates for the holding entity. Examine the assumptions behind repayment and support, including whether underlying cash is actually available to move.

Management papers should explain alternatives and the consequences of delay. The director must be able to identify when a proposal prepared at group level lacks the evidence needed for an entity-level decision.

Qualified candidates

Candidates should have experience in cross-border corporate governance, restructuring finance or investment holding structures. They need financial literacy and the ability to engage with legal, tax and accounting specialists while retaining independent judgement. Practical availability and appointment-specific eligibility must be established for the office concerned.

Review a request for additional funding

Require a current recovery case, the proposed use of funds and the conditions under which further support might be needed. Compare the contribution with the entity's other commitments. Where a guarantee or security arrangement is proposed, understand what could trigger exposure and what limitations apply through specialist advice.

Board records and continuing attention

The decision record should show what was considered and what remained uncertain. Follow material obligations after approval; a funding decision can create continuing monitoring needs rather than ending when documents are signed.

Effective service means that group objectives are translated into supportable decisions at the appropriate entity. The director should resist both nominal approval and unnecessary operational intervention. Applicants should discuss a case where a group's preferred cash movement or support arrangement needed modification because the relevant entity's position had not been adequately considered.

Before you apply — Luxembourg

Company law imposes no residency or nationality test. What gates a Luxembourg board seat is CSSF approval of you personally, and the substance expectation that decisions are genuinely taken in Luxembourg.

Residency test
No residency requirement in company law. CSSF substance requirements mean the entity must be directed from Luxembourg, which in practice shapes how often a non-resident director must be present.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings requires no permit. Executive and resident roles for non-EU nationals require a residence permit.
Tenure limit once appointed
No statutory cap. Institutional investors in Luxembourg fund vehicles increasingly apply their own tenure expectations, commonly around nine years, when assessing board independence.

Luxembourg·Property & Real Estate

The appointment concerns a property investment vehicle with a defined purpose. A narrow purpose does not remove the need to understand its financing, contracts, cash flows and decision obligations. The director must be able to challenge transactions rather than simply sign prepared documents.
