Board Advisory — Overseas Shareholder Engagement

Japan·Industrial & Precision Manufacturing·Posted 22 August 2026

TSE Prime Market issuer facing engaged overseas shareholders

Actively sourcing

A demand profile the Exchange is actively sourcing against. The sponsor is not confirmed on this board, and we say so rather than implying a signed mandate. Registering interest puts you in front of the sponsor when the brief converts.

The problem this seat exists to solve

The board has received a substantive letter from an overseas institutional shareholder on capital efficiency and board composition, and has no director who has been on the other side of that conversation.

The remit

  • Advise the board on the substance and sequencing of its response
  • Prepare directors for direct engagement with overseas institutional investors
  • Review the company's cost-of-capital disclosure against what those investors actually read
  • Advise on board composition implications, without conducting the search

What the sponsor will not compromise on

  • Direct experience of engaged or activist shareholder situations from the company side
  • Credibility with global institutional investors and proxy advisers
  • Understanding of Japanese board process and decision cadence
  • English required; Japanese an advantage

Terms

Engagement
Three to six months, approximately six days a month, with board attendance by invitation.
Compensation
Fee scoped on engagement; day rates in the JPY 400,000 – 700,000 range are typical.
Cross-border
An advisory engagement does not create an office of director and carries no appointment formalities or statutory liability.

Before you apply — an advisory engagement

No office of director, and no appointment formalities.

An advisory engagement creates no directorship in Japan. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.

On this brief
An advisory engagement does not create an office of director and carries no appointment formalities or statutory liability.
Independence
Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.

Registering against a single brief is fine. Registering once against your whole profile means you are read against every mandate that opens in the markets you can actually be appointed in — statutory, interim and advisory.
