The problem this seat exists to solve

The company is responding to the Tokyo Stock Exchange's cost-of-capital initiative and needs a director who has personally executed portfolio disposals and capital-return decisions. The Corporate Governance Code asks Prime Market boards for at least one-third independent directors.

The remit

  • Bring direct experience of capital allocation, disposal and shareholder-return decisions
  • Contribute to the board's response to the cost-of-capital disclosure expectations
  • Support engagement with overseas institutional shareholders
  • Serve on the nomination or remuneration advisory committee

What the sponsor will not compromise on

  • Former CEO, CFO or group strategy lead who has executed disposals or a capital-return programme
  • Experience of a manufacturing or engineering business at international scale
  • Willingness to attend a monthly board cadence — the Japanese norm, not the exception
  • English required; Japanese welcome but interpretation is provided

Engagement
Elected annually at the general meeting; monthly board cycle.
Compensation
JPY 12m – 18m a year.
