The problem this seat exists to solve
The company is responding to the Tokyo Stock Exchange's cost-of-capital initiative and needs a director who has personally executed portfolio disposals and capital-return decisions. The Corporate Governance Code asks Prime Market boards for at least one-third independent directors.
The remit
- Bring direct experience of capital allocation, disposal and shareholder-return decisions
- Contribute to the board's response to the cost-of-capital disclosure expectations
- Support engagement with overseas institutional shareholders
- Serve on the nomination or remuneration advisory committee
What the sponsor will not compromise on
- Former CEO, CFO or group strategy lead who has executed disposals or a capital-return programme
- Experience of a manufacturing or engineering business at international scale
- Willingness to attend a monthly board cadence — the Japanese norm, not the exception
- English required; Japanese welcome but interpretation is provided

- Elected annually at the general meeting; monthly board cycle.
- Compensation
- JPY 12m – 18m a year.

- Japan applies no nationality or residency test. A non-resident appointee must provide affidavits or signature certificates in place of a Japanese seal registration at each filing.
- Time commitment in this market
- Typically 12 board meetings a year — monthly is the norm rather than the exception — plus committee and pre-meeting briefings.
