Corporate finance and capital structure organisation in United Kingdom
The problem this seat exists to solve
Deliver a documented calculation workbook or equivalent controlled process, an obligations calendar, a review checklist and a forecast-headroom dashboard. Include a handover session in which responsible finance staff reproduce the calculations and explain their assumptions. Recommendations should identify unresolved interpretation questions and the advisers or counterparties best placed to resolve them.
Establish one defensible financial account
The adviser will strengthen the process by which management prepares covenant calculations and lender information. The assignment concerns accuracy, consistency and early visibility of pressure. It does not involve presenting an artificially favourable interpretation of performance or substituting advisory judgement for the meaning of executed financing documents.
Map each reporting obligation to its source data, calculation owner, review step and due date. Examine how definitions in financing agreements differ from management accounting measures. Where adjustments or exclusions require interpretation, record the issue and obtain the appropriate professional input rather than allowing an undocumented convention to persist.
From a historical calculation to an early decision
Reconcile historical calculations and investigate unexplained changes. Review the relationship between forecast covenant headroom and the operating plan, including the effect of acquisitions, disposals, leases and currency movements where relevant to the agreements. Identify the assumptions most likely to move a result and the lead time management needs to respond.
Develop an internal reporting process that brings potential pressure to decision-makers before an external deadline. The process should distinguish a data-quality concern from a genuine deterioration in financial capacity. Draft a clear structure for lender information so that management can explain performance, variances and actions consistently across reporting periods.
Qualifications and certification boundary
Candidates need strong group-finance, debt reporting or treasury experience and careful attention to financial definitions. They should demonstrate the ability to work with legal documentation without claiming to replace legal advice. Communication must be direct, especially when headroom is limited or information is incomplete. The role provides no authority to certify compliance, negotiate waivers or communicate binding commitments to lenders. Those responsibilities remain with authorised officers and the relevant professional advisers under the financing arrangements.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in the United Kingdom. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.

Cooperative or mutual agribusiness and food systems organisation

Leave a controlled transaction process, documented reconciliations and a realistic backlog for remaining systems improvements. The permanent team should understand which exceptions require immediate action and which can follow a routine timetable. Management reporting must show unresolved exposure honestly rather than relying on the disappearance of old items from a spreadsheet.
