The problem this seat exists to solve
The advisor will support leadership succession in an expertise-led enterprise where client relationships, professional authority and ownership may be closely connected. The engagement is designed to make leadership continuity practical. It must address how responsibilities transfer, how future leaders are assessed and how the organisation avoids postponing difficult decisions until a departure makes them urgent.
Understand what must be handed over
Map the responsibilities carried by current leaders, separating formal office from personal influence and undocumented relationships. Identify services or clients whose continuity depends on one individual. Examine the readiness of potential successors using evidence from commercial judgement, people leadership, quality responsibility and collaborative behaviour.
The advisor will help define the future leadership requirement before comparing candidates. A successful current leader's characteristics should not automatically become the specification for the next phase. Consider whether responsibilities should remain combined or be divided, and assess the management capacity created by each option.
Facilitate a defensible process
Recommend transparent assessment, decision and communication arrangements. Work through transition risks, client continuity, delegation and the development experiences needed before appointment. Where ownership arrangements or employment terms affect the options, coordinate with appropriately qualified advisers and identify decisions requiring formal approval.
The advisor does not appoint leaders, negotiate ownership rights or make employment decisions. The mandate is to provide independent assessment and a workable transition recommendation. Any relationship with potential candidates or search providers must be disclosed, and confidential assessment information must be handled through agreed controls.
The advisor's evidence of judgement
Candidates should have advised or led succession in professional services, partnerships or comparable organisations with concentrated relationship capital. Applications should describe a succession process in which the apparent leading candidate was not the right answer, and how the evidence was handled. Sensitivity must be matched by the ability to state difficult conclusions clearly.
Continuity arrangements to leave in place
Deliver a decision-ready succession plan, continuity arrangements for critical responsibilities and a realistic development agenda. The plan should include contingencies and review points, enabling the governing body to act before a leadership gap threatens clients, colleagues or the quality of professional work.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in the United Kingdom. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.

Leave a controlled transaction process, documented reconciliations and a realistic backlog for remaining systems improvements. The permanent team should understand which exceptions require immediate action and which can follow a routine timetable. Management reporting must show unresolved exposure honestly rather than relying on the disappearance of old items from a spreadsheet.
