Actively sourcing

A demand profile the Exchange is actively sourcing against. The sponsor is not confirmed on this board, and we say so rather than implying a signed mandate. Registering interest puts you in front of the sponsor when the brief converts.

The problem this seat exists to solve

The board must make its first declaration on the effectiveness of material controls for the financial year beginning in 2026, and does not yet have an assurance map that would support it.

The remit

  • Assess readiness for the Provision 29 declaration across financial, operational, reporting and compliance controls
  • Build the assurance map and identify where evidence does not currently exist
  • Advise the audit committee on what it must see, and when, to make the declaration
  • Recommend the reporting rhythm for the year of first application

What the sponsor will not compromise on

  • Deep experience of internal control frameworks in a regulated business
  • Prior audit-committee chair or chief audit executive background
  • Familiarity with the 2024 UK Corporate Governance Code and FRC guidance
  • Independence from the company's external auditor

Before you apply — an advisory engagement

No office of director, and no appointment formalities.

An advisory engagement creates no directorship in the United Kingdom. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.

On this brief

Independence
Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.

Registering against a single brief is fine. Registering once against your whole profile means you are read against every mandate that opens in the markets you can actually be appointed in — statutory, interim and advisory.
