Corporate finance and capital structure organisation in United Kingdom
The problem this seat exists to solve
The director will strengthen oversight of group reporting where several businesses contribute information using different processes and levels of finance maturity. The task is to challenge whether the consolidated picture is complete, comparable and supported by controls that work in practice. This seat requires attention to the judgement behind reported results as well as the mechanics of producing them.
A director focused on the consolidated evidence
The director will contribute through collective board decisions and assigned committee responsibilities. They will not prepare accounts, approve journal entries or manage the financial controller. Effective oversight should produce fewer recurring adjustments, clearer ownership of reporting risks and a financial narrative that directors can connect to the underlying businesses. Candidates must be willing to challenge both management and external assurance where evidence is incomplete, while respecting the different responsibilities of each party. Independence and appointment-specific eligibility will be assessed before the seat is confirmed.
Where reporting weaknesses hide
Examine the clarity of group accounting policies and the evidence that business units apply them consistently. Review consolidation adjustments, intercompany reconciliations and the treatment of estimates that are material to performance. Ask whether apparent consistency has been achieved through central corrections that conceal persistent weaknesses in local reporting.
Help define which errors, control failures and late submissions merit board or committee attention. Repeated immaterial exceptions can indicate a wider problem, while isolated issues should not overwhelm the agenda. The director should challenge management to distinguish both, using evidence about frequency, cause and potential exposure.
Resilience through systems and people
Consider the resilience of the finance organisation and its systems. Review dependencies on manual spreadsheets, key individuals and unsupported interfaces. Scrutinise major reporting-system changes for control continuity, testing and realistic parallel-running arrangements. Faster reporting is useful only if its quality and explanatory value are maintained.
Financial reporting expertise
Candidates require substantial group reporting, audit or financial-control experience and the ability to operate as an independent board colleague. A relevant accounting qualification or equivalent expertise is expected. They should be able to describe how they addressed a reporting weakness across multiple entities without creating a permanently oversized central intervention team.

Leave a controlled transaction process, documented reconciliations and a realistic backlog for remaining systems improvements. The permanent team should understand which exceptions require immediate action and which can follow a routine timetable. Management reporting must show unresolved exposure honestly rather than relying on the disappearance of old items from a spreadsheet.
