Corporate finance and capital structure organisation in United Kingdom

The problem this seat exists to solve

This board appointment focuses on the financial discipline surrounding acquisitions and their integration. The director will challenge the connection between the strategic case, purchase price, financing structure and the operating work required after completion. The seat is intended to strengthen collective judgement, not to provide management with another deal advocate.

The financial diligence challenge

Before approval, examine the quality of earnings, working-capital assumptions, debt-like items and the sensitivity of the valuation to growth and integration expectations. Ask which benefits require new capability, customer consent or changes in behaviour that are not yet secured. Ensure the board can see the difference between an achievable base case and an aspirational combination of every proposed synergy.

Expertise to bring to the board

Candidates should offer senior finance or board experience across acquisitions, due diligence and post-acquisition performance. They must understand the limitations of transaction data and be comfortable engaging commercial, operational and people leaders. Evidence of recommending that a deal be changed, delayed or declined is as relevant as a record of completed transactions.

The neglected period after signing

Require management to identify integration accountabilities before commitments become irreversible. Review the readiness of reporting, treasury, controls and decision rights for the acquired operation. Where the transaction creates a temporary dependency on the seller or an external service provider, assess exit options and the cost of delay.

After completion, monitor performance against the original investment logic while allowing for genuine changes in market conditions. Challenge the repeated rebasing of targets if it removes accountability. Equally, recognise when preserving value requires a different plan rather than defending the assumptions used to approve the purchase. The director should make the board's choices explicit when investment, retention or restructuring decisions arise.

Reviewing value after the transaction

The director will act through the board and any agreed committees. Executives and appointed advisers remain responsible for negotiations, diligence work and integration execution. Success will be reflected in decision papers that expose assumptions, approvals with meaningful conditions and post-deal reporting that connects financial outcomes to operating causes. Candidates must disclose relationships that could compromise independent judgement on targets, sellers, funders or transaction advisers.

Leave a controlled transaction process, documented reconciliations and a realistic backlog for remaining systems improvements. The permanent team should understand which exceptions require immediate action and which can follow a routine timetable. Management reporting must show unresolved exposure honestly rather than relying on the disappearance of old items from a spreadsheet.
