The problem this seat exists to solve
Candidates need senior banking finance, treasury, risk or restructuring experience and the ability to evaluate complex trade-offs under uncertainty. Exposure to a stressed institution or a substantial contingency-planning exercise is valuable. Applicants should explain how they assessed feasibility when assumptions changed rapidly and information was incomplete.
The experience needed when options narrow
Independent judgement, calm communication and willingness to challenge optimistic timing are essential. Prior board service should demonstrate engagement with difficult decisions rather than reliance on specialist committees alone.
Recovery readiness as an ordinary board responsibility
The director will help the board assess whether recovery options are credible, executable and understood before severe financial or operational pressure arises. The appointment requires banking judgement, an understanding of balance-sheet constraints and the ability to distinguish a documented option from one that could be implemented in difficult conditions.
This is a non-executive governance role. Management owns planning and execution, while the board must understand the decisions it may be asked to make, the information it would need and the consequences for customers, counterparties and the institution.
The director should connect recovery readiness with ordinary strategic decisions. A new product, funding concentration or outsourcing arrangement may alter the range of options available under stress even if it appears manageable in normal conditions.
Test the options and dependencies
Challenge the triggers used to escalate deterioration and the assumptions behind proposed responses. Examine options involving funding, capital, asset sales, business changes or cost measures for timing, dependencies and realistic capacity. Ask which actions compete for the same resources or become unavailable together.
Review the operational readiness of critical steps, including access to information, approval routes and communication responsibilities. Encourage exercises that expose ambiguity in authority and decision-making rather than merely rehearse a predetermined sequence. Require management to address weaknesses revealed by testing and changes in the business model.
Availability and authority under pressure
The director will contribute to collective oversight, follow material readiness gaps and maintain availability when circumstances require intensive board engagement. Eligibility, independence and required approvals will be assessed for the specific entity. The role carries no unilateral authority to activate recovery actions. Success means that the board understands its practical choices, the conditions affecting them and the evidence needed to act before pressure turns a manageable situation into an uncontrolled one.

Leave a controlled transaction process, documented reconciliations and a realistic backlog for remaining systems improvements.
