The problem this seat exists to solve

Provision 29 of the UK Corporate Governance Code 2024 requires a board declaration on the effectiveness of material controls — including operational and compliance controls — for financial years beginning on or after 1 January 2026. The current committee is strong on financial reporting and thin on operational control environments.

The remit

  • Succeed to the audit committee chair after a handover period
  • Lead the board's readiness for the Provision 29 material-controls declaration
  • Oversee the assurance map across financial, operational, reporting and compliance controls
  • Work with the risk function on the supply chain and third-party control environment

What the sponsor will not compromise on

  • Recent and relevant financial experience as required by Code Provision 24
  • Direct experience of owning an operational or compliance control environment, not only a financial one
  • Prior UK listed-company non-executive experience, or equivalent from another major market
  • Independence under Provision 10, including no prior employment by the group

Terms

Engagement
Three-year term, renewable, within the nine-year independence expectation.
Compensation
GBP 75,000 – 95,000 a year including audit chair fee.
Cross-border
The UK imposes no residency or nationality test on directors. Identity verification under the ECCTA regime applies wherever you are based.
Time commitment in this market
Typically 6–9 board meetings a year plus committee cycles and a strategy day; audit-committee chairs should expect materially more.

A non-executive director attending board meetings does not require a work visa; permitted business activities cover it. An executive or interim operating role requires a Skilled Worker visa or equivalent.
Tenure limit once appointed
No hard cap. Provision 10 treats service of more than nine years from first appointment as a circumstance that may impair independence, and Provision 19 limits the chair's total tenure to nine years with limited flexibility.
