The problem this seat exists to solve
The director will strengthen board oversight of engineering capability, leadership succession and key-person risk. The remit concerns whether the organisation can sustain its technology strategy as products, teams and responsibilities evolve. It requires a practical understanding of how expertise is developed and retained, together with the discipline to remain at board level.
Ensure growth does not depend on irreplaceable individuals
Challenge management's account of critical skills and technical ownership. Ask where knowledge is concentrated, which decisions depend on one person and how the organisation would respond to an unexpected departure. Review whether succession plans describe capable successors or merely names on a chart, and whether development opportunities match the responsibilities those people may need to assume.
Beyond recruitment numbers
Examine engineering management capacity, onboarding quality and the balance between hiring and internal development. Review incentives that may reward visible feature delivery while undervaluing reliability, mentoring and technical stewardship. The director should help the board understand why retention and capability measures require context rather than a single target.
Technical influence and managerial authority
Consider whether organisational design supports effective technical challenge. Senior specialists need influence without creating unaccountable vetoes, while managers need authority without becoming the sole source of technical judgement. Significant changes to the engineering operating model should include a plan for preserving knowledge and maintaining delivery during transition.
The appointment is a director seat with collective board responsibilities. Management retains authority over recruitment, performance assessment and team structure. The director's contribution should result in a more realistic capability plan, explicit mitigation of key-person dependencies and stronger board understanding of the people investment behind the technology strategy. Independence from recruitment providers, training businesses or other interested parties must be transparent, and candidates should be prepared to explain how they would manage such conflicts if they arise.
