The problem this seat exists to solve
The board adviser will translate technology risk into decisions about resilience, investment and assurance. The brief is particularly concerned with dependencies spanning operational assets, enterprise systems, communications and external providers.
Investigation priorities
Review the service-risk map, significant legacy exposure and the evidence behind recovery assumptions. Examine how management governs change where security, availability and safety considerations may pull in different directions. Identify risks that sit between engineering and IT ownership or are obscured by supplier boundaries.
The review should distinguish systems that can be restored from those whose interruption creates a physical or service backlog that persists after restoration. Ask how management tests the complete recovery sequence and whether external dependencies are included. Where replacement is impractical in the near term, the adviser should compare alternative mitigations and make their limitations clear. The board needs to understand the residual exposure it is accepting and the evidence that would justify revisiting that decision.
Advice for directors
Prepare a concise account of material exposure, available options and the evidence needed to accept residual risk. Recommend improvements to reporting and escalation. Support a board exercise that tests strategic decisions during prolonged disruption without attempting to run a technical incident simulation on the board’s behalf.
Candidate qualifications
Candidates should have technology-risk or resilience experience in infrastructure or another critical-service environment. They must understand operational technology constraints and communicate credibly with both engineers and directors. Experience of reviewing a failed recovery or major service disruption is particularly useful.
How the work will be judged
The board should be able to identify what it is relying on, what remains uncertain and which decisions require action. The adviser provides independent challenge rather than an implied assurance opinion or executive authority. Candidates should disclose relationships with relevant technology providers and explain how they preserve independence when assessing solutions they have previously implemented.

- Advisory engagement
Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in Germany. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
