The work behind a credible proposal
Map debt, security, guarantees and material obligations with finance and legal advisers. Test how financing arrangements interact with cash movements between operating entities, essential investment and working-capital seasonality. Develop alternative restructuring cases, showing who provides liquidity, where losses or dilution arise and what operating changes each case depends on.
The appointee will lead management’s contribution to negotiations and coordinate a decision process that gives the board timely visibility of options. Protect the integrity of forecasts, manage a controlled diligence process and identify assumptions that should trigger a revised proposal. Operational leaders must own the actions supporting debt capacity rather than merely accepting a finance-generated target.
The restructuring options should explicitly address the cash cost of execution and the ability to operate during negotiations. Model restrictions at the relevant entity, including where guarantees or security may constrain transactions. Distinguish a reduction in accounting leverage from an improvement in available liquidity. The officer should challenge whether proposed asset disposals remove cash-generating capacity needed to support remaining debt and whether new funding is sufficient to complete the operating changes, rather than only enough to reach agreement with creditors.
A strong handover
The engagement should produce a supportable capital structure, a reconciled implementation plan and a reporting system that reveals slippage early. Candidates should describe how they have prevented a negotiated solution from failing because the operational assumptions were unrealistic or the governance of implementation was weak.
