The problem this seat exists to solve
A company is moving from project-led technology delivery to a product operating model. The supervisory board needs stronger challenge of engineering investment, organisational readiness and the relationship between digital product development and commercial performance.
The supervisory perspective
The appointment contributes through the supervisory board chair to oversight of the management board. Executive decisions and operational management remain with the management board.
Product ownership and investment choices
You will review whether digital strategy is supported by clear product ownership and realistic engineering capacity. You will challenge major platform investments, technical debt priorities and the assumptions behind transformation benefits.
Leadership and sustainable performance
- Scrutinise delivery reporting for evidence of user outcomes, service quality and sustainable operating performance.
- Assess technology leadership succession, talent concentration and dependence on critical individuals.
- Support collective supervisory oversight while respecting the management board’s responsibility for execution.
Contribution over the first year
**First quarter.** Identify the most material gaps in product and engineering information reaching the supervisory board.
**Within six months.** Review the operating model and assurance around a major platform initiative.
**Within twelve months.** Assess whether investment has improved product outcomes and whether execution risks are being managed consistently.
Engineering leadership experience
The role requires senior engineering leadership, financial and strategic literacy, and the ability to contribute independent challenge in a supervisory setting.
Additional useful experience includes prior governance exposure and experience shifting established companies toward a product-led digital operating model.
Service expectations
An initial three-year term is envisaged, with approximately eighteen to twenty-four days annually for meetings and preparation. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.

No nationality or residency test applies to a supervisory board member. The barriers are structural — co-determination, the mandate cap and German-language board process — not legal.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A supervisory board member attending meetings does not require a residence permit. A management-board (Vorstand) appointment for a non-EU national does, and is a substantially heavier process.
- Tenure limit once appointed
- No statutory cap. The Code recommends that the supervisory board decide, and disclose, how many of its shareholder representatives it considers independent, and treats more than twelve years' service as an indicator to be addressed.
