Hong Kong put a nine-year clock on every independent non-executive seat

HKEX's Corporate Governance Code amendments took effect on 1 July 2025, introducing a hard nine-year cap on INED independence with a phased transition running to 2028.

The amendments to Appendix C1 of the Listing Rules did four significant things at once. A director who has served more than nine years can no longer be treated as independent, phased in with transition relief. A nomination committee became mandatory and must be chaired by an independent non-executive director. Issuers must publish a board skills matrix. And boards may not be single-gender, following Listing Rule 13.92.

The transition is the part worth reading carefully. Issuers with long-serving INEDs were given a staged period to comply rather than a single cliff, which spreads the resulting vacancies across the 2026 to 2028 window rather than concentrating them in one annual general meeting season.

Hong Kong's underlying composition rules are unchanged: at least three INEDs, representing at least one-third of the board, with at least one holding appropriate professional qualifications or accounting and related financial management expertise under Rule 3.10(2).

What it means for a cross-border candidate

The board skills matrix is the most useful artefact for a candidate that any regulator in Asia has mandated. An issuer that must publish, annually, the skills its board holds and the ones it is missing has published its own search brief.
