  • Bring board-level oversight of cyber-security, data governance and platform risk
  • Sit on the risk committee and contribute to the nomination committee's skills-matrix review
  • Test management's technology investment cases against the board's risk appetite
  • Support the transition as long-tenured INEDs are replaced

  • Executive experience as a CIO, CTO or CISO of a business at meaningful scale
  • Prior listed-company board or board-committee exposure
  • Working English; Mandarin an advantage but not a requirement for this seat
  • Comfort with cross-border data and regulatory regimes

Terms

Engagement
Three-year term, subject to re-election, within the nine-year independence period.
Compensation
HKD 400,000 – 600,000 a year including committee fees.

Hong Kong applies no residency or nationality test to directors, so this seat is open to a candidate based anywhere.
Time commitment in this market
Typically 4–8 board meetings a year plus committee cycles, with more frequent ad-hoc meetings at issuers doing corporate actions.
