Why the combination of committees matters
Audit, risk and nominations are often administered as separate calendars. This seat is intended to connect them. A recurring credit exception may be a policy problem, a systems problem, a capability problem or an incentive problem; an apparently strong quarter can change capital and liquidity choices; and a control-function vacancy can alter the institution's risk posture before any limit is breached. The director is expected to follow these connections across committee boundaries and ensure that the full Board sees them.
The role is suited to an experienced banking or financial-services leader who respects prudential detail but can still frame the strategic question. The Board needs challenge that is calm, evidence-led and persistent enough to survive reassuring averages.
Core work of the seat
Asset quality and provisioning. Review portfolio movement by segment, geography, vintage and risk grade. Challenge cure, restructuring, write-off and recovery patterns; assess management overlays and collateral assumptions; and require back-testing of material judgements. The director should be alert to growth-driven denominator effects and delayed stress recognition.
Capital and liquidity. Examine internal capital adequacy, concentration, stress losses, recovery options, deposit behaviour and the operational feasibility of contingency funding. Capital planning should reflect technology, compliance and people investment as well as balance-sheet growth. Dividend or expansion choices must be tested against adverse scenarios rather than minimum ratios alone.
Internal control and financial reporting. Scrutinise reconciliation breaks, access controls, suspense accounts, treasury valuation, income recognition, fraud treatment, regulatory returns and closure of repeat audit findings. The Audit Committee must be able to distinguish an isolated exception from a control design that has ceased to fit the business.
Operational resilience. Ask which customer services and financial processes must continue through a cyber incident, data-centre loss, vendor failure or regional disruption. Recovery evidence should come from integrated tests with decision rights, communication and manual workarounds—not from component certifications.
Leadership and control stature. Through the NRC, evaluate succession for the CEO, CFO, CRO, compliance head, internal audit head and key business leadership. The independence, access and tenure of control functions are board matters. Reward outcomes should recognise risk-adjusted value, control behaviour and customer treatment.
A distinctive early assignment
Within 120 days, the new director will sponsor a “risk-to-accounts” review. Management will select one material portfolio and trace how origination data, risk grade, collection action, expected loss, income recognition, capital consumption and board reporting relate to each other. The objective is not another audit; it is to determine whether the Board receives one coherent economic story or several functionally correct but incompatible versions.
Qualifications and independence
Applicants should bring at least twenty years of meaningful experience in banking, regulated finance, prudential supervision, audit, risk or treasury, including enterprise-level accountability. Experience of a stressed portfolio, remediation programme, capital action or regulatory examination will be valued. Candidates must be independent of significant customers, suppliers, advisers, promoters and competing institutions, and must satisfy DIN and Independent Directors' Databank requirements. The time commitment includes regular meetings, quarterly result preparation, annual strategy/risk sessions and additional availability during a material event.
Application note
Applications should present committee-relevant evidence rather than a general biography: two or three decisions personally governed, the information used, the challenge made, and the resulting change in risk, capital, control, succession or stakeholder outcome. Shortlisted candidates will undergo independence, conflict, capacity, DIN and databank verification before any confidential market approach.
