A board seat centred on leadership architecture
This appointment combines Nomination and Remuneration Committee leadership with strategy oversight in a business whose value is created through technology, partner ecosystems and execution across markets. The Board does not need a conventional HR generalist. It needs an independent director who can judge whether leadership capacity, organisation design, incentives and succession choices are adequate for the strategy the company has chosen.
The incoming member will help the Board look beyond named successors. Critical-role resilience must include product, engineering, cyber security, data, operations, finance, regulatory engagement and market leadership. The mandate also includes assessing whether the executive model remains suitable as the organisation becomes more international, more dependent on platform reliability and more exposed to decisions made by algorithms and partner networks.
Decisions that will come to this director
- CEO and enterprise succession. Convert succession from a list of candidates into a set of tested transition scenarios: planned handover, abrupt incapacity, founder or promoter role change, material acquisition and a market disruption requiring different leadership muscles.
- Executive capacity against strategy. Examine whether the leadership team has sufficient depth in enterprise technology, cross-border commercial execution, risk, customer trust and integration. Where the gap is structural, advise on build, buy, partner or leadership-change choices.
- Incentive integrity. Review whether annual and long-term rewards distinguish durable value from volume, bookings or valuation outcomes that may later reverse. Customer concentration, cash conversion, platform resilience, conduct and talent health should be visible in performance design.
- Board composition. Build a forward skills matrix that reflects the next strategy cycle rather than the company's history. The director will participate in board evaluation, committee renewal and independence review with particular attention to digital, international and risk capability.
- Organisation beneath the executives. Ask whether decision rights are clear across product, sales, operations and geography; whether key-person dependence is known; and whether the second line can challenge growth without becoming a late-stage approval desk.
- Strategic option quality. Contribute to reviews of market entry, partnership, acquisition and product adjacency. The expected contribution is not to champion expansion, but to reveal the assumptions, irreversible commitments and management capacity each option consumes.
What an effective first year would change
The NRC should finish the year with credible emergency and medium-term succession coverage for the chief executive and the most consequential control and technology roles. The Board should be able to see which strategic initiatives are constrained by leadership bandwidth, where retention risk is concentrated and how incentive outcomes would change under downside scenarios. The annual evaluation should generate specific board-development and composition actions instead of a compliance narrative.
Profile sought
The strongest applicants will have led a technology-enabled, multi-market or ecosystem business at CEO, business-president, CHRO or equivalent enterprise level, and will have made consequential succession and organisation-design decisions. Experience with listed-company NRC work, executive reward, global talent and post-acquisition leadership integration is valuable. Candidates should be capable of discussing architecture and AI risk at governance depth without attempting to run the technology function.
Appointment is conditional on independence diligence, conflict clearance, DIN and applicable Independent Directors' Databank compliance. The mandate is expected to require eight to ten formal Board/committee days plus strategy and succession sessions during the year.
Application note
Applications should present committee-relevant evidence rather than a general biography: two or three decisions personally governed, the information used, the challenge made, and the resulting change in risk, capital, control, succession or stakeholder outcome. Shortlisted candidates will undergo independence, conflict, capacity, DIN and databank verification before any confidential market approach.
