Mandate thesis
The company manufactures technology-intensive products through a network of plants, specialist suppliers and demanding customer programmes. The Audit Committee Chair will govern the reliability of the financial result and the operating assumptions behind it. The Board requires an independent director who can move fluently between programme economics, quality, capacity, customer commitments, cyber-physical risk and capital allocation.
This seat carries unusually broad committee exposure. It is not intended that one director become the owner of every issue. The objective is to prevent fragmentation: a supplier failure may affect revenue, quality, working capital and customer trust; a capacity investment may affect debt, hiring, qualification and execution risk; a cyber compromise may interrupt the plant and expose controlled technical information. The appointee should help the Board see the complete consequence chain.
Decisions reserved for robust challenge
Programme acceptance. Before material contracts or programmes are approved, the Board should see volume uncertainty, qualification milestones, tooling and working-capital needs, price-reset clauses, warranty exposure, supply dependencies and downside economics. Revenue is not high quality if delivery requires unpriced acceleration or persistent working-capital absorption.
Capacity and capital. Greenfield lines, automation and acquisitions require staged gates. The Chair will press for independent readiness evidence, contingency, customer qualification, hiring, yield ramp and a post-investment benefit ledger. Capacity announced is not capacity capable of producing conforming output at the expected cost.
Supplier resilience. Critical components and processes should be mapped beyond tier one. Sole-source and long-lead exposure, supplier financial health, geopolitical restrictions, counterfeit prevention, obsolescence and alternate qualification belong in the risk conversation. Inventory buffers should be judged against expiry, redesign and cash cost.
Quality and traceability. The Audit Committee will look at escapes, concessions, rework, warranty, field events and cost of poor quality. Management must show whether corrective actions change the process and whether traceability survives across systems and subcontractors. Serious near misses need escalation before financial materiality is proven.
Cyber-physical control. Plant networks, engineering systems, test data, source code, customer specifications and remote vendor access require integrated ownership. The director will ask for tested segregation and recovery, access governance, incident scenarios and assurance over material digital suppliers.
Financial judgement. Percentage-of-completion or milestone revenue, capitalised tooling or development, inventory, impairment, foreign exchange, government incentives and customer claims must be grounded in programme evidence. The Chair will insist on private auditor sessions and retrospective review of estimates.
The first 100 days
Rather than request a generic induction, the new Chair will select one representative customer programme and trace it from bid assumptions to contract, engineering change, procurement, production, acceptance, cash and warranty. A second review will map the five dependencies capable of halting a critical plant or programme. These exercises will shape the assurance plan and expose where Board reporting loses operational context.
Who can add value here
The Board is open to leaders from advanced manufacturing, industrial technology, auto or electronics supply chains, aerospace-quality environments, finance, audit or enterprise risk. Candidates must have held material P&L, financial, quality or operating accountability and be comfortable challenging technical specialists without pretending to replace them. Listed-company committee experience and familiarity with multi-plant capex are preferred. DIN, independence clearance and current Independent Directors' Databank compliance are prerequisites.
Expect ten to twelve formal Board/committee days, programme and plant deep-dives, and short-notice availability for a major quality, cyber, customer or capital event.
Application note
Applications should present committee-relevant evidence rather than a general biography: two or three decisions personally governed, the information used, the challenge made, and the resulting change in risk, capital, control, succession or stakeholder outcome. Shortlisted candidates will undergo independence, conflict, capacity, DIN and databank verification before any confidential market approach.
