The governing proposition
In a technology-services company, the financial result and the delivery system cannot be overseen separately. Contract interpretation, effort estimation, cloud commitments, subcontracting, currency, employee cost, automation benefits, cyber resilience and client acceptance all meet in reported margin and cash. The Audit Committee Chair must therefore be equally comfortable with the accounts and with the operational evidence from which the accounts are constructed.
The director will lead a committee agenda that gives shareholders confidence in revenue quality, control maturity and the organisation's ability to absorb a severe service or cyber event. The role also carries Risk Committee participation, so issues identified in audit must translate into risk appetite, investment and accountable remediation.
A year-round assurance programme
Contract economics and revenue. The Chair will require disciplined review of fixed-price and outcome-linked engagements, estimates to complete, change requests, unbilled revenue, acceptance dependencies, loss-making contracts and the point at which automation assumptions are recognised in forecasts. Large judgemental positions should be traceable to delivery evidence and subjected to retrospective accuracy review.
Margin and workforce truth. Utilisation, pyramid, subcontractor use, bench, attrition and location mix can improve one metric while weakening another. Committee reporting should expose the full bridge from booked revenue to realised cash and from headcount action to delivery capacity, quality and retention risk.
Technology and cyber assurance. The director will test the independence and reach of security assurance across privileged access, software supply chain, cloud configuration, client environments, incident response and recovery. Material near misses and recurring control exceptions should be reported in consequence terms, with tested recovery objectives rather than colour-coded comfort.
AI governance. The Board needs a clear boundary between productivity experimentation and systems that influence client deliverables, code, personal data or decisions. The Chair will press for model and tool inventories, permitted-use controls, human review, provenance, contractual compliance and measurement of realised benefit against new risk.
Acquisitions and investments. Due diligence must connect commercial forecasts to delivery capability, security debt, talent retention, client concentration and integration cost. Post-deal reviews should compare the acquisition case with actual cash, synergies and control convergence.
Auditor effectiveness. The committee will protect audit independence, scrutinise non-audit services, hold private sessions and judge whether scoping follows risk across geographies and delivery centres. Repeated findings should trigger root-cause and consequence review, not revised closure dates.
What the Board will look for in the person
The preferred candidate has been a listed-company CFO, audit partner, technology-services chief risk officer, CIO/CISO with enterprise governance responsibility, or a business leader accountable for large technology contracts and their economics. Familiarity with global revenue recognition, transfer pricing, foreign exchange, privacy, cyber assurance and client obligations is important. Candidates must show occasions when they challenged a plausible but incomplete management narrative and improved the decision without crossing into executive management.
The appointee must satisfy independence and conflict reviews, hold or obtain a DIN, and meet Independent Directors' Databank requirements. Anticipated commitment is nine to twelve Board and committee days, two assurance deep-dives and availability around results and material incidents.
Application note
Applications should present committee-relevant evidence rather than a general biography: two or three decisions personally governed, the information used, the challenge made, and the resulting change in risk, capital, control, succession or stakeholder outcome. Shortlisted candidates will undergo independence, conflict, capacity, DIN and databank verification before any confidential market approach.
