Board dossier
This appointment is for a director who can govern a technology business through the interaction of finance, product economics, data rights, customer promises and leadership depth. The seat participates in the Audit Committee, Nomination and Remuneration Committee and Stakeholders Relationship Committee. The combination demands more than three parallel sets of minutes: the Board wants one director who can spot when product or commercial choices create a financial-reporting judgement, a talent dependency or a stakeholder obligation.
The company's scale makes discipline more important, not less. A few customer contracts, specialist employees, cloud services or distribution partners can represent a material share of value. The incoming director should be able to distinguish deliberate concentration from unmanaged dependence and to ask whether the Board would recognise deterioration early enough to act.
Three tests the director will repeatedly apply
Is revenue economically complete?
The Audit Committee must understand the path from order to entitlement, delivery, customer acceptance, invoicing, collection and continuing obligation. Subscription, implementation, licence, data and service elements should be separated where their economics differ. Contract modifications, bundled obligations, credits, capitalised product expenditure, cloud commitments and receivable ageing require judgement that can be explained without relying on technical accounting language.
The director will ask for cohort and contract evidence: which revenue produces cash, support burden, renewal and acceptable margin; which apparent growth increases future service cost; and which assumptions have historically been optimistic. Forecast accuracy and estimate reversals should influence assurance coverage.
Can leadership scale without hiding key-person risk?
Through the NRC, the member will review succession for the CEO and leaders responsible for product, engineering, information security, finance and key commercial relationships. Retention reporting should distinguish replaceable capacity from scarce knowledge. Equity and variable reward should recognise durable product adoption, cash, security and customer outcomes rather than bookings or share-price movement alone.
Board composition is part of the remit. The member will help assess whether the Board has enough current understanding of data governance, software economics and market change, while ensuring that technology familiarity is not mistaken for independence or oversight skill.
Do stakeholders have a credible route to remedy?
Shareholder grievances are the formal minimum. The Stakeholders Relationship Committee should also understand disclosure accessibility, investor questions that reveal persistent misunderstanding, material customer disputes, data-rights concerns and the integrity of market communication. Corrections, delayed responses and recurring themes should generate action in the responsible function.
One-year deliverables
The new director should leave behind a contract-economics dashboard reconciled to reported results; a documented succession and retention map for the roles that hold product, security and customer knowledge; an assurance review of material data flows and third parties; and a stakeholder-issue process that traces repeated questions to disclosure or operating gaps. None of these is an executive project—the director's contribution is to define the evidence, demand accountable ownership and judge closure.
Suitable backgrounds
Strong candidates include CFOs, technology-business leaders, audit partners, product or data executives with enterprise accountability, and governance leaders from listed digital businesses. Applicants need enough technical fluency to probe data lineage, cloud dependency and security, and enough commercial judgement to understand contracts and recurring revenue. Prior committee service is helpful but not mandatory for a candidate with deep executive governance exposure. DIN, independence clearance and Independent Directors' Databank compliance are required by appointment. Anticipated service is seven to nine Board and committee days plus preparation and one annual strategy session.
Application note
Applications should present committee-relevant evidence rather than a general biography: two or three decisions personally governed, the information used, the challenge made, and the resulting change in risk, capital, control, succession or stakeholder outcome. Shortlisted candidates will undergo independence, conflict, capacity, DIN and databank verification before any confidential market approach.
