The problem this seat exists to solve
The director will help the board assess financing resilience across a portfolio of infrastructure assets. A collection of individually viable investments can still face a collective liquidity problem if maturities, construction calls and operating pressures converge. This seat requires the ability to see those connections and challenge management before options narrow.
The board's portfolio financing problem
The role centres on independent oversight of debt concentration, refinancing readiness and capital allocation. It also requires participation in the board's wider responsibilities; specialist expertise is a contribution to collective judgement, not a reason to ignore issues outside finance.
What the maturity calendar must reveal
Review the maturity profile alongside expected distributions, reserve requirements and contingent obligations. Ask how much refinancing capacity depends on asset valuations, lender appetite or assumptions about future performance. Examine the availability of alternative funding paths and the practical time required to pursue them.
Help establish board reporting that shows the concentration of obligations and the readiness of responses, rather than simply listing facilities. Follow significant warning indicators and ensure management recommendations arrive with sufficient time for meaningful review. Eligibility and independence will be assessed for the specific appointment, and material conflicts must be disclosed. The director will not act as a financing broker or make unilateral commitments. Success is measured by the board's ability to make timely, informed capital decisions before liquidity pressure dictates them.
Cross-asset choices require experienced challenge
Challenge proposals to support one asset with resources from another, taking account of restrictions and the effect on the remaining portfolio. Require clarity on cross-defaults, guarantees and shared counterparties. Encourage early preparation for difficult refinancing cases, including the information, operational improvements or shareholder decisions needed to make an option credible.
Substantial experience in infrastructure investment, corporate finance, treasury or lending is required. Applicants should have worked through a constrained refinancing environment and be able to explain how they assessed alternatives when the preferred route was unavailable. Experience with portfolio-level analysis is particularly relevant.
The board needs a director who can separate a severe but manageable risk from an unsupported forecast, communicate uncertainty clearly and maintain independence during stakeholder pressure. Familiarity with asset-level economics and cash restrictions is essential.
