Venture-backed mining and metals organisation

The problem this seat exists to solve

At a mining and metals business funded by venture capital, investment hurdles must start making delivery and control dependencies explicit. An Interim Chief Investment and Finance Officer, reporting to the Board of Directors, has 12 months to set them.

Not simply a higher hurdle rate

An investment hurdle is usually understood as a number: a return a project must beat. That is not what this appointment is about. The Interim Chief Investment and Finance Officer, answerable to the Board of Directors for 12 months, is appointed to set hurdles that make delivery and control dependencies explicit. A project that clears the return threshold but depends on a permit, a power connection, a processing partner or a control that does not yet exist should not reach approval with those dependencies unstated.

How the hurdles get built and used

With executive authority, the officer sets which investment decisions stay with local leadership and chooses the evidence on which capital, project capacity and controls are governed. They take decisions on the existing book of commitments, carrying each one forward, holding it or ending it. They stop proposals which push cost or risk onto others with nobody answerable, and reject cases that leave out adoption, dependencies or what could be lost. They confirm who leads the investment function and how a problem is raised, resolve conflicts before money is committed, and put in place a regular board rhythm for progress, exceptions and unresolved decisions.

Good hurdles ask not only whether a project pays, but who holds each dependency until it is cleared, and what the board will see if one slips. A hurdle that names its dependencies also gives the board something to track after approval, which is where most investment value is won or lost.

The person for the seat

Your record should come from businesses of at least $505 million in revenue and 1,000 people, operating across six countries or more. Restructuring, integration and professionalisation are the experiences we will explore. Capital allocation at level 4 matters most, with controls and reporting, risk judgement and FP&A forecasting following at level 3. When a downside was contested, you have put it to a board in full, without softening it. You have refused funding when take-up and downside were left unaddressed, and then rebuilt the finance capability that the refusal showed was missing.

Hurdles in use by month 12

Investment hurdles requiring every capital proposal to name its delivery and control dependencies should be agreed by the board inside the first ninety days. Around month nine, the existing book of commitments should have been retested against those hurdles, with each one carried forward, held or ended on the evidence. By month 12, capital decisions should pass through the hurdles as a matter of routine, and investment review should sit with a standing committee process rather than with one person.

The Board of Directors opens the process in week one, confidentially and over video. The Regional President then takes a session with you in week three, trying the hurdles against an operating proposal. Week five puts you in person before executives who lead each function, and the full board meets you in the seventh week. Our written reply follows within five working days of each stage.

Before you apply — this is an executive role

An interim seat needs work authorisation. A board seat in the United States usually does not.

This is the single most common way a cross-border interim engagement falls apart after it has been agreed. The visa-free position that applies to a non-executive director attending board meetings does not extend to an executive or operating role.

Position in the United States
A foreign national attending board meetings usually travels on a B-1 business visa or under the Visa Waiver Program; board attendance is a recognised permissible business activity. An executive or interim operating role requires work authorisation.
