Mining and resources organisation in United States
The problem this seat exists to solve
The chair will oversee financial reporting through a resource-sector corporate combination or transition. The mandate focuses on opening balances, significant accounting positions and the ability of the continuing finance team to produce reliable reports after transaction support ends.
Trace the opening balances before building the next close
Require a clear account of source records, adjustments and judgement. Where information must be reconstructed, understand the limitations and the consequence for reporting. The chair should resist allowing a desired market timetable to become the reason for accepting unsupported conclusions.
Assess close procedures, data availability, access and management review. Ask which activities were performed by temporary advisers and how they will transfer to the permanent team. A completed transaction does not establish that the organisation can operate its reporting obligations repeatedly.
Chair the audit relationship and continuing agenda
Challenge the basis of accounting, historical information and significant estimates with appropriate technical advice. Review consistency between transaction materials and the ongoing financial reporting model. Identify issues that remain unresolved and establish who owns the evidence needed to settle them.
Maintain a direct route for discussion of audit scope, independence and significant findings. Communicate the committee's conclusions and unresolved concerns clearly to the full board. Ensure remediation priorities reflect the reliability of future reporting, not only the immediate filing.
Applicants should explain a transition where the transaction accounting was understood but continuing reporting capability was inadequate. The chair oversees the response while management prepares the accounts and operates controls. Effective service creates an accountable reporting foundation that survives changes in personnel and advisers.
Qualified candidates
Candidates need substantial financial reporting expertise, audit committee leadership and United States issuer-governance knowledge. Experience with complex combinations, reverse transactions or reporting integration is relevant when it includes the periods after completion. They should have dealt directly with difficult evidence and control-readiness questions.
