The problem this seat exists to solve
The chair will lead audit committee oversight of a resource business strengthening its financial control environment. The task is to prioritise the weaknesses that matter, challenge remediation evidence and maintain reporting discipline while improvements are underway.
Understand the finding and prove its closure
Assess the close process, reconciliations, access, journals and review of significant estimates. Ask whether controls are designed for the systems and people actually available. Where duties cannot be fully separated, examine the substance and evidence of compensating review.
A new procedure, completed training or configured workflow may be necessary but does not demonstrate that a control works. Ask for evidence across relevant reporting cycles and examine exceptions. Where remediation repeatedly slips, determine whether the problem is capability, capacity, authority or an unrealistic plan.
Lead remediation oversight under reporting pressure
Agree an agenda that gives material deficiencies and repeated findings sustained attention. Review the external auditor's scope, independence and conclusions. Require management to identify owners, resources and the evidence needed before an issue can be considered resolved.
The chair should help the board understand residual exposure during remediation and the interim measures on which management relies. Do not encourage a false choice between meeting a deadline and addressing controls: the reporting conclusion must reflect the evidence available and the limitations that remain.
Applicants should discuss a finding that management proposed to close prematurely and explain how the committee evaluated it. The chair's role is oversight, not designing every control or preparing the accounts. Effective service leaves clearer accountability and a reporting process that depends less on exceptional last-minute effort.
Qualified candidates
Candidates should have significant financial reporting expertise, audit committee leadership and United States issuer-governance experience. A record of overseeing meaningful control remediation is essential. Resource or other complex industrial experience is valuable, particularly where operating data feeds material financial balances.
