The problem this seat exists to solve
This director will contribute financial expertise to a resource-sector audit committee reviewing financing arrangements and treasury-related reporting. The role requires understanding of the economic obligations behind contractual terms and the accounting judgements they create.
Treasury reporting expertise sought
Candidates should have substantial accounting or senior finance experience, practical audit oversight and knowledge of United States issuer governance. Relevant experience includes complex financing, treasury accounting or resource-sector reporting. The appointing board must assess independence and any financial-expert designation through the applicable process.
Challenge the transaction through its financial life
Review significant financing transactions, related estimates and disclosures. Ask whether management has identified the complete set of terms, conditions and continuing obligations before reaching an accounting conclusion. Examine the controls over non-routine transactions, including the use and review of external technical advice.
The committee should understand how ongoing calculations, modifications and compliance information enter the reporting process. A carefully analysed transaction can become poorly controlled if the permanent finance team does not understand the required data or treatment. Require clear ownership and documentation that survive the departure of transaction advisers.
When terms change, ask how the amendment reaches accounting, treasury and disclosure owners. Review whether the revised analysis considers linked instruments and continuing commitments, rather than assessing the changed clause in isolation.
Liquidity implications and evidence of judgement
Help the committee distinguish a reported gain, adjustment or balance-sheet presentation from an improvement in available cash. Ask whether accounting and liquidity narratives describe the same economic position. Where contractual interpretation matters, ensure appropriately qualified specialists inform the conclusion.
Applicants should describe a financing arrangement whose headline commercial description obscured a material reporting or liquidity consequence. The committee needs someone who can explain the issue plainly and identify what evidence would change the conclusion.
The director strengthens oversight rather than acting as the treasury executive or technical accounting preparer. The expected contribution is a more complete understanding of funding obligations, reliable continuing processes and clear communication of material uncertainty to the wider board.
