The problem this seat exists to solve
The director will bring financial and commercial judgement to a board overseeing recurring service revenues. The mandate centres on the relationship between contractual promises, service delivery, billing and reported performance. It requires testing whether growth reflects durable customer value and properly supported accounting, while sharing the full responsibilities of a director.
Three sources of evidence
Review management's understanding of contract terms and performance obligations with the support of qualified finance specialists. Examine whether changes, renewals, credits and service exceptions are captured reliably. The board should understand where interpretation is material and how consistency is maintained across operations.
Consider customer and operating evidence alongside financial reports. Churn, disputed invoices, service failures and concessions may indicate that reported growth is less durable than headline figures suggest. Ask whether commercial teams are rewarded for commitments that create later delivery or collection problems.
Assess the control linking service evidence to billing and revenue records. Manual intervention may be appropriate in some cases, but repeated workarounds should prompt examination of the operating model and systems. Seek clear ownership of corrections and unresolved exceptions.
Candidate qualifications
Candidates should have senior finance, commercial or governance experience in a recurring-service business, with strong accounting literacy. They must explain a case where the interpretation of customer arrangements affected both reported results and business decisions. Independence and eligibility for the actual director office will be assessed before appointment.
The board boundary
The director will challenge policy, management information and control effectiveness, and contribute to strategy and incentive oversight. They will not determine individual invoice treatment or take over contract administration. External audit and specialist advice should inform material accounting conclusions without displacing management's responsibility.
A better view of growth
Effective contribution should help the board distinguish new business, retained value, price effects and temporary commercial concessions. The goal is reporting that faithfully reflects the economics of the service and exposes weaknesses early. Management should be able to explain why revenue is earned, how it will convert to cash and what evidence would require a reassessment of the assumptions behind the forecast.
Terms

- 27 November 2026
- Appointment
- Board appointment
- Compensation
- EUR 60,000–100,000 per year (indicative annual board fee)
- Time commitment in this market
- Fund boards typically meet quarterly; a regulated bank or insurance board meets far more often and the Central Bank tests whether the director has the time.
Before you apply — Ireland
No nationality test applies. An EEA residency test applies to the company, which can be satisfied by a bond — but for a regulated firm the real gate is Central Bank pre-approval of you personally.
- Residency test
- At least one EEA-resident director, or a €25,000 s.137 bond, or a s.140 certificate. It binds the company, not the appointee.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings does not require an employment permit. Executive roles for non-EEA nationals require one.
- Tenure limit once appointed
- Nine years is the Central Bank's expectation for independent non-executive directors of credit institutions and insurers; beyond it, independence must be justified.
