The problem this seat exists to solve
The director will bring independent banking judgement to the oversight of credit risk, ensuring that portfolio ambitions are consistent with underwriting capability, capital capacity and the institution's ability to recognise deterioration. The board needs more than a list of limits: it needs to understand how those limits shape decisions and what happens when commercial pressure tests them.
Credit judgement expected of this director
Applicants should have significant senior banking, credit or risk experience and a sound understanding of bank financial statements and capital implications. Experience in a regulated board environment is valuable. Candidates must be able to demonstrate independent challenge of a credit strategy, not simply participation in a large lending business.
The ability to interrogate models while understanding their limitations is essential. Applicants should explain how they have balanced commercial opportunity with evidence that a portfolio was approaching its practical risk capacity.
From portfolio appetite to early intervention
Examine concentrations across sectors, counterparties, collateral types and common economic drivers. Test the quality of information supporting portfolio growth and the treatment of exceptions to underwriting standards. Ask whether pricing reflects risk and whether apparent diversification survives a plausible combined stress.
Review early-warning indicators, watch-list discipline and the timeliness of remedial action. Challenge reporting that explains deterioration only after arrears emerge. Consider the interaction between lending growth, operational capacity and the ability to monitor covenants or collateral. Require clear ownership where weaknesses span relationship management, credit and collections.
The director should help the board distinguish temporary volatility from changes that undermine the original lending thesis. Oversight should include how management learns from impaired exposures and feeds that learning into future origination.
Board authority and evidence of contribution
This is a non-executive appointment with collective board responsibilities. The director will challenge management and support relevant committee work as determined for the seat, without becoming an additional credit approver or directing individual lending decisions.
Success means clearer board decisions on credit appetite, earlier visibility of deterioration and meaningful follow-up on management actions. Independence, conflicts, availability and applicable appointment approvals will be assessed for the entity. Management retains lending authority within delegation. The director must be prepared to challenge reassuring narratives when underlying evidence is incomplete, while recognising that sound banking involves deliberate risk acceptance rather than avoidance of all uncertainty.

- Appointment
- Board appointment
- Compensation
- EUR 65,000–110,000 per year (indicative annual board fee)
- Time commitment in this market
- Fund boards typically meet quarterly; a regulated bank or insurance board meets far more often and the Central Bank tests whether the director has the time.
Before you apply — Ireland
No nationality test applies. An EEA residency test applies to the company, which can be satisfied by a bond — but for a regulated firm the real gate is Central Bank pre-approval of you personally.
- Residency test
- At least one EEA-resident director, or a €25,000 s.137 bond, or a s.140 certificate. It binds the company, not the appointee.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings does not require an employment permit. Executive roles for non-EEA nationals require one.
- Tenure limit once appointed
- Nine years is the Central Bank's expectation for independent non-executive directors of credit institutions and insurers; beyond it, independence must be justified.
