Public-service technology organisation in Ireland

The problem this seat exists to solve

This seat brings independent challenge to technology outsourcing arrangements that support essential service delivery. The director should examine whether management retains the information and capability needed to govern the service, intervene during failure and make credible future sourcing choices.

Responsibilities at board level

Review material sourcing decisions, concentration exposure and the relationship between contractual performance and actual service outcomes. Ask whether responsibilities at supplier interfaces are clear and whether management can obtain independent evidence when reports conflict.

An apparently well-performing contract may still leave the organisation unable to diagnose a service failure or recover its data. The director should challenge those dependencies before they become urgent negotiations.

Required professional judgement

Qualified candidates should bring senior technology, sourcing or service-governance experience and credible board-level financial judgement. They need to understand the commercial incentives of providers and the capabilities a client must retain. Experience managing or overseeing a difficult supplier transition will be particularly relevant.

Scrutiny of a major renewal

Require a comparison of renewal, renegotiation and transition that includes the cost of internal capability, data movement and temporary coexistence. Examine whether an attractive price transfers risk into change charges or weakens the organisation's ability to leave. Ask what evidence supports the proposed service levels and how performance failures will affect operating decisions.

Oversight without parallel management

The director helps the board decide what risks to accept and what assurance it needs. Executives remain responsible for contract management and incident response. Where a supplier relationship raises a conflict for the appointee, it must be disclosed and handled through the actual governance framework.

Evidence of contribution

Candidates should discuss a situation in which contractual compliance did not amount to a reliable service. Effective board participation will improve sourcing decisions, expose concentration and make the retained management responsibilities explicit. It should not create an informal channel through which a director personally directs suppliers outside agreed authority.

Appointment
Board appointment
Compensation
EUR 60,000–100,000 per year (indicative annual board fee)
Time commitment in this market
Fund boards typically meet quarterly; a regulated bank or insurance board meets far more often and the Central Bank tests whether the director has the time.

Before you apply — Ireland

No nationality test applies. An EEA residency test applies to the company, which can be satisfied by a bond — but for a regulated firm the real gate is Central Bank pre-approval of you personally.

Residency test
At least one EEA-resident director, or a €25,000 s.137 bond, or a s.140 certificate. It binds the company, not the appointee.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings does not require an employment permit. Executive roles for non-EEA nationals require one.
Tenure limit once appointed
Nine years is the Central Bank's expectation for independent non-executive directors of credit institutions and insurers; beyond it, independence must be justified.
