The problem this seat exists to solve

A healthcare organisation is expanding digital services and adopting AI-enabled tools. The director will help the board scrutinise value, operational readiness and assurance, ensuring management can explain how significant deployments are evaluated and monitored.

Before approval and deployment

1. Challenge digital and AI investment proposals for user need, workflow impact and realistic implementation capacity.

2. Review governance of data quality, validation, human oversight and performance monitoring with specialist assurance support.

Once systems are in use

You will scrutinise cyber and resilience exposure associated with critical platforms and external technology providers. You will test whether management has the skills, ownership and escalation processes needed after deployment.

You will ensure the board receives evidence of benefits and adverse operational signals rather than adoption counts alone.

Specialist experience required

The role requires senior healthcare technology leadership and demonstrated governance of digital risk; substantive AI oversight experience must be evidenced for this combined mandate.

Additional useful experience includes board or committee service, clinical technology assurance and experience with independent review of AI deployments.

Board review milestones

  • First quarter: establish a board view of significant digital and AI deployments and their assurance status.
  • Within six months: review one high-impact deployment and management’s monitoring arrangements.
  • Within twelve months: assess whether investment benefits and material control gaps are being reported and acted on consistently.

Nature of the appointment

This is a nonexecutive appointment. The director contributes through the chair to collective board decisions and oversight; management retains responsibility for execution.

An initial three-year appointment is envisaged, with approximately eighteen to twenty-four days annually for meetings, preparation and committee work. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.

Time commitment in this market

No nationality test applies to a director. The company must be capable of being represented by someone domiciled in Switzerland, which an officer can satisfy — it does not have to be you or any other director.

Residency test
At least one person domiciled in Switzerland must have signing authority for the company (CO Art. 718(4)).

None.
Work authorisation
A non-executive director attending board meetings does not require a residence permit. Executive roles do, and non-EU/EFTA nationals face a quota system.
Tenure limit once appointed
No statutory cap. The Swiss Code of Best Practice asks boards to consider tenure in assessing independence and to disclose their reasoning.
