The problem this seat exists to solve
This director will strengthen board scrutiny of financial implications arising from resource operating plans and material commitments. The role focuses on consistency: statements about investment, production change or long-term obligations should be supported by the financial assumptions and reporting process.
Connect public commitments to the financial account
If management presents a long-term operating plan to support investment, ask whether financial estimates use compatible assumptions. Differences may be justified, but they need an explanation. The committee should be able to identify where a public narrative, an internal budget and an accounting judgement rely on materially different expectations.
Director and audit committee contribution
Review significant judgements and disclosures with attention to the information arriving from operations, projects and specialist functions. Ask whether approved commitments are reflected in forecasts and whether changes in plans have been considered across relevant accounting conclusions.
Help identify reporting risks that sit between functions. A technical team may understand a development while finance receives it too late or without its economic consequences. The director should challenge the completeness of that information flow and the evidence supporting management's assessment.
Qualifications and selection evidence
Candidates should have strong financial reporting expertise, audit oversight experience and Canadian public-issuer governance knowledge. Resource-sector experience is important, including familiarity with the way technical and operating information informs financial judgement. They need to work constructively with specialists while retaining independent challenge.
Applicants should discuss a case where a non-financial development had material reporting consequences that were initially overlooked. Explain how the issue reached the committee and how responsibilities were clarified.
The director does not certify technical plans or prepare disclosures. Management and competent specialists retain those responsibilities. The board should gain better visibility of the links between commitments, assumptions and reporting, allowing it to act on inconsistencies before they become a late filing problem. Independence and any committee-specific eligibility requirements must be assessed for the actual appointment.
