Mining and resources organisation in Canada
The problem this seat exists to solve
The director will strengthen the audit committee's ability to examine how mining production information becomes inventory, cost, revenue and financial estimates. The role requires expertise at the interface between operations and reporting without assuming responsibility for technical production decisions.
Qualified candidates
Candidates should have substantial accounting or senior finance experience in producing resources or comparable industrial operations. They need audit oversight capability and knowledge of Canadian public-issuer governance. Eligibility and independence will require assessment for the actual board and committee appointment.
Committee contribution
Review reconciliations among production records, inventory movements and sales. Challenge the evidence behind unit costs and significant estimates. Ask whether changes in output, downtime or recoveries are reflected consistently across the accounts and management forecasts.
Investigate a favourable margin movement
The director should be able to ask whether a reported improvement arises from realised operating economics, inventory movements or changed assumptions. Trace the explanation through quantities, costs and cash. A technically permissible estimate still needs a supportable evidential basis and consistent treatment across reporting periods.
Assurance responsibilities
Contribute to review of audit scope, significant findings and the adequacy of management responses. Examine whether controls over operational data address the points where errors could enter the financial records. Specialist involvement should clarify uncertainty rather than create an impression that the committee no longer needs to exercise judgement.
A board contribution that remains non-executive
The director should help other members understand the significance of technical accounting issues and identify the decisions requiring board attention. Management remains responsible for records, estimates and financial statement preparation.
Applicants should discuss a situation where operational measures and financial results told different stories. Effective service should improve the quality of questions, the completeness of evidence and the follow-through on underlying control weaknesses. It should not create a parallel finance department within the audit committee or encourage management to outsource its accounting decisions to one director.
